These Terms of Service (the “Terms”) govern your access to and use of Accedo, a policy management and compliance tracking service. By creating an account or using the service, you agree to these Terms on behalf of yourself and the organization you represent.

1. Acceptance of Terms

These Terms form a binding agreement between Accedo (“we,” “us,” “our”) and the organization that opens an account (the “Tenant” or “you”). By signing up, accessing, or using the service, you accept these Terms on behalf of your organization and represent that you have the authority to bind it. Each individual the Tenant invites to the platform (an “End User”) is also subject to these Terms when they use Accedo. If you do not agree to these Terms, do not use the service.

2. Description of Service

Accedo is a hosted policy-management platform. Administrators within a Tenant can publish policies, assign them to End Users for acknowledgment, track who has signed, configure periodic re-acknowledgments, send reminders, and produce compliance reports. The features available to a Tenant depend on the subscription tier the Tenant has selected, as described at accedo pricing. We may add, change, or remove features over time, with reasonable notice for any material reduction in functionality.

3. Account Registration

To use Accedo, the Tenant must register an account with an accurate organization name, administrator name, and a valid work email address. One Tenant account represents one organization; you may not create multiple accounts to circumvent tier limits or pricing. You are responsible for keeping account credentials confidential and for all activity that occurs under your account. Notify us at security@yesaccedo.com without undue delay if you suspect unauthorized access to your account.

4. User Responsibilities and Acceptable Use

You agree to use Accedo only in compliance with applicable law and these Terms. You will not:

  • Upload, store, or distribute content that is unlawful, infringing, fraudulent, defamatory, or harmful (including malware).
  • Use the platform to send unsolicited communications to people who have no relationship with the Tenant.
  • Reverse engineer, decompile, or otherwise attempt to derive source code from the service, except to the extent applicable law expressly permits despite this restriction.
  • Probe, scan, or test the security or availability of the service without our prior written authorization.
  • Interfere with or disrupt the service, or attempt to gain unauthorized access to another Tenant’s account, data, or computing resources.
  • Use the service to track or surveil individuals beyond what is reasonably necessary for the Tenant’s lawful policy-compliance program.
  • Share account credentials or impersonate another user.

We may suspend or terminate access for serious or repeated violations of this section.

5. Email Sending and Reputation Protection

Accedo sends transactional email on the Tenant’s behalf — policy assignments, reminders, password resets, audit notices, and similar service messages. Email deliverability is a shared reputation across all Tenants on the platform, so we reserve the right to:

  • Monitor bounce, complaint, and unsubscribe rates per Tenant.
  • Throttle or pause a Tenant’s outbound email if measured rates exceed thresholds we set from time to time.
  • Require the Tenant to clean its recipient list, correct invalid addresses, or take other corrective action before sending resumes.
  • Suspend or terminate the account for repeated or egregious violations of email-sending standards.

These measures protect the deliverability of mail sent on behalf of every Tenant on Accedo.

6. Content Ownership and License

The Tenant retains all rights, title, and interest in the policies, documents, user lists, and acknowledgment records the Tenant uploads or generates through use of the service (“Tenant Content”). The Tenant grants Accedo a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and otherwise process Tenant Content solely as necessary to provide the service, perform billing, and meet our obligations under these Terms.

Accedo retains all rights in the platform itself — the software, branding, design, and any aggregated, anonymized statistical insights we derive from operating the service that do not identify any Tenant or End User.

7. Payment and Billing

Pricing for paid tiers is published at /pricing and is the price in effect at the time the Tenant subscribes. Standard tier subscriptions are billed annually in advance. Premium tier pricing is set by separate written agreement.

The Tenant authorizes Accedo and its payment processor to charge the Tenant’s payment method for all amounts due. Subscriptions renew automatically at the end of each term at the then-current published price unless canceled before renewal. The Tenant is responsible for all applicable taxes, except taxes based on Accedo’s net income. If a payment fails and is not corrected within thirty (30) days, we may suspend or terminate the account.

Subscriptions are non-refundable. Accedo does not provide refunds for partial billing periods or for periods after cancellation. In limited circumstances — for example, where a customer intended to cancel before renewal and reaches out promptly — Accedo may grant a discretionary credit or partial refund, but this is at Accedo’s sole discretion and is not an obligation.

8. Service Availability and Support

We aim to keep Accedo available continuously but do not guarantee uninterrupted service on the Free or Standard tiers. Planned maintenance is announced in advance where reasonably possible. Premium tier customers may receive availability commitments under a separately negotiated agreement.

Support is provided as follows:

  • Free: documentation and community resources.
  • Standard: best-effort email support during U.S. business hours.
  • Premium: support terms set by separate written agreement.

We may make changes to the service, including features available to a particular tier, with reasonable notice.

9. Termination

The Tenant may cancel its subscription at any time. Cancellation takes effect at the end of the current billing period; the Tenant is not entitled to a refund for the unused portion of a prepaid term.

Accedo may suspend or terminate the Tenant’s account for:

  • Material breach of these Terms (including the Acceptable Use and Email Sending sections).
  • Non-payment of fees after a reasonable cure period.
  • A legal requirement or governmental order.
  • Activity that creates a security, legal, or reputational risk for Accedo or for other Tenants.

Where reasonable and not prohibited by law, we will give the Tenant notice and an opportunity to cure before suspending or terminating an account.

10. Data Retention After Termination

On termination, the Tenant has thirty (30) days to export its data through the in-app export tools or by contacting support. After the export window, Accedo deletes the Tenant’s data on the schedule published at /pricing (see retention by tier in the Privacy Policy). Backups are retained for a reasonable additional period strictly for disaster-recovery purposes and are then purged.

The Tenant remains responsible for preserving its own copy of acknowledgment records if required by law or regulation.

11. Intellectual Property

The Accedo name, logo, branding, software, design, and all underlying intellectual property are owned by Accedo or its licensors. Other than the limited right to use the service under these Terms, no license to those assets is granted to the Tenant. Tenant Content remains the property of the Tenant.

12. Disclaimers and Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ACCEDO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Accedo helps the Tenant track its own compliance with the Tenant’s chosen policies. Accedo does not provide legal advice and does not warrant that use of the platform satisfies any specific regulatory or statutory requirement. Determining whether the Tenant’s policies and acknowledgment program meet applicable laws is the Tenant’s responsibility.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY.

ACCEDO’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE FEES PAID BY THE TENANT TO ACCEDO IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

Nothing in this section limits liability that cannot be limited under applicable law, such as liability for gross negligence, willful misconduct, or indemnification obligations.

14. Indemnification

The Tenant will indemnify, defend, and hold harmless Accedo and its officers, employees, and agents from and against third-party claims, demands, losses, and expenses (including reasonable attorneys’ fees) arising out of (a) Tenant Content, (b) the Tenant’s use of the service in violation of these Terms or applicable law, or (c) the Tenant’s policies or acknowledgment program as administered through the service.

Accedo will indemnify the Tenant against third-party claims alleging that the service, as provided by Accedo and used in accordance with these Terms, infringes a U.S. intellectual property right. This indemnity does not cover claims arising from Tenant Content, modifications not provided by Accedo, or combinations of the service with other products.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Kansas, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Johnson County, Kansas for any dispute that is not subject to arbitration.

Either party may elect to resolve a dispute by binding arbitration administered by JAMS under its applicable rules, before a single arbitrator, in Johnson County, Kansas. Either party may seek injunctive or equitable relief in court without first arbitrating. THE PARTIES WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS ARBITRATION.

16. Changes to Terms

Accedo may update these Terms from time to time. When we do, we will publish the new version at /terms with a new version identifier and notify Tenant administrators by email at least thirty (30) days before material changes take effect. Continued use of the service after the effective date of an update constitutes acceptance of the updated Terms. If the Tenant does not accept a material change, it may cancel before the effective date.
